1. Legal Identity and Contact

MinuteWise is a service operated by Bruce Rosier EI, a French sole proprietorship (Micro-entreprise) registered in Paris, France, with SIREN/SIRET number: 99340002700013.

2. Fiscality and Pricing

2.1 VAT Exemption: All prices are displayed as Net/HT (Excluding Taxes). In accordance with Article 293 B of the French General Tax Code (CGI), VAT is not applicable (“TVA non applicable, art. 293 B du CGI”), unless the Provider exceeds the statutory turnover thresholds.

2.2 Local Taxes: Users located outside of France or the European Union are solely responsible for any local taxes, duties, or customs fees applicable in their jurisdiction.

2.3 Billing Accuracy: The User agrees to provide an accurate billing address. This information is used by our payment processor (Stripe) to determine the applicable fiscal regime. MinuteWise disclaims all liability for incorrect taxation resulting from inaccurate user data.

3. Nature of Service and Quality (Telecoms)

3.1 NO EMERGENCY CALLS (CRITICAL)

MinuteWise is a browser-based VoIP service and DOES NOT permit calls to emergency services (e.g., 112, 911, 999). It is not a substitute for traditional landline or mobile telephony. You must ensure you have an alternative means of reaching emergency services.

3.2 Quality of Service (QoS): The Service is provided on a “Best Effort” basis. Audio quality, connectivity, and latency depend entirely on the User's internet connection and the third-party infrastructure (Twilio). MinuteWise is not liable for call drops or poor quality resulting from network fluctuations.

4. Wallet and Credit Policy

4.1 Credits: MinuteWise operates via a prepaid credit system. Credits are digital assets used exclusively for calling minutes.

4.2 Final Sale & No-Refunds: All purchases are final. Because Credits are delivered immediately upon payment, and in accordance with Article L221-28 of the French Consumer Code, the User expressly waives their 14-day right of withdrawal. No refunds will be issued for unused balances to cover Stripe processing fees and administrative costs.

4.3 Expiration: Credits will expire and be removed from the account after twelve (12) months of account inactivity.

5. Prohibited Use and Abuse

5.1 Anti-Spam & Robocalling: The use of the Service for automated dialing, mass-marketing, “robocalling,” or any form of unsolicited commercial communication is strictly prohibited. Violation will result in immediate account suspension without refund.

5.2 Reselling: The User is strictly forbidden from reselling calling minutes, sub-licensing accounts, or distributing the Service to third parties for commercial gain without a prior written agreement from MinuteWise.

6. Data Protection (GDPR)

6.1 Data Location: User account data and billing information are stored on secure servers located within the European Union.

6.2 Metadata vs. Content:

  • Metadata: We log “Call Detail Records” (duration, timestamp, destination number) for billing and legal compliance (French CPCE).
  • Content: We never record or store the audio content of your conversations. Audio packets are transient and deleted immediately after transit.

6.3 Portability: Under the EU Data Act 2025, you may request a machine-readable export of your consumption logs at any time.

7. Limitation of Liability

As a Micro-entrepreneur, the Provider's liability is limited to the amount of the last transaction paid by the User. We are not liable for indirect damages, loss of business, or the failure of third-party carriers (Twilio).

8. Governing Law

These Terms are governed by French Law. Any dispute involving a professional user (B2B) shall be subject to the exclusive jurisdiction of the courts in Paris, France. Consumers may use the EU Online Dispute Resolution platform.
